Board Governance Fundamentals

This module introduces the principles, structures and responsibilities of board governance. It supports learners to understand the role of the board, the distinction between governance and management, and the importance of accountability, oversight, decision quality and ethical conduct.

Assessment: Short applied assignment based on a simulated board scenario and a board role/responsibility mapping task.

Evidence: Learner response to a governance scenario, role/responsibility map and short improvement recommendations.

Learning outcomes and assessment criteria for BGF401
  • LO1: Understand the purpose and principles of board governance.

    1.1 Explain the purpose of board governance in organisational accountability. 1.2 Describe the distinction between governance and management. 1.3 Identify key principles of effective board decision-making.

  • LO2: Understand board roles, duties and information requirements.

    2.1 Describe common board roles and committee responsibilities. 2.2 Explain why boards require timely, accurate and relevant information. 2.3 Identify risks arising from weak board oversight.

  • LO3: Apply governance principles to a simple board scenario.

    3.1 Review a board-level scenario to identify governance issues. 3.2 Recommend proportionate actions to improve board oversight.
