This module develops higher-level understanding of board effectiveness, including board composition, information flows, constructive challenge, committee structures, conflicts of interest and board review.

Assessment: Board effectiveness review and governance improvement report.

Evidence: Structured critique of a board scenario and evidence-based improvement report.

  • LO1: Critically evaluate the features of effective board governance.

    1.1 Evaluate how board composition affects governance effectiveness. 1.2 Analyse the importance of challenge, independence and accountability. 1.3 Review the role of committees in supporting board oversight.

  • LO2: Evaluate board information and decision processes.

    2.1 Evaluate the quality of board information in a case scenario. 2.2 Identify weaknesses in board decision-making processes. 2.3 Recommend improvements to board reporting and challenge.

  • LO3: Apply board effectiveness principles to practice.

    3.1 Conduct a structured review of a board governance scenario. 3.2 Produce justified recommendations to improve board effectiveness.
